Job Title: In-House Corporate Lawyer (In-Person)

Overview:
As an In-House Corporate Lawyer, you will be responsible for providing legal counsel and support to the company on a wide range of corporate matters. This role requires expertise in corporate law, contract negotiation, compliance, and risk management. You will work closely with internal stakeholders to ensure legal compliance and mitigate legal risks while supporting the company’s business objectives.

Key Responsibilities:

• Legal Counsel: Provide legal advice and guidance to management and various departments on corporate legal matters. Interpret laws, regulations, and policies relevant to the company’s operations and activities.
• Contract Negotiation and Review: Draft, review, and negotiate a variety of contracts, including commercial agreements, vendor contracts, licensing agreements, and employment contracts. Ensure that contracts comply with legal requirements and protect the company’s interests.
• Corporate Governance: Assist with corporate governance matters, including corporate filings, board meetings, and shareholder communications. Maintain corporate records and ensure compliance with corporate governance requirements.
• Mergers and Acquisitions (M&A): Participate in M&A transactions by conducting due diligence, drafting transaction documents, and providing legal advice on deal structures, regulatory compliance, and risk management.
• Compliance and Risk Management: Develop and implement compliance programs to ensure adherence to applicable laws, regulations, and industry standards. Conduct risk assessments and recommend strategies to mitigate legal risks.
• Litigation Management: Manage and oversee litigation matters involving the company, including disputes, claims, and regulatory investigations. Work with external counsel as needed to represent the company’s interests in legal proceedings.
• Employee Training and Education: Provide training and education to employees on legal issues relevant to their roles, including compliance training, contract management, and intellectual property protection.
• Policy Development: Assist in the development and implementation of company policies and procedures to ensure compliance with legal requirements and promote ethical business practices.

Qualifications:

• Relevant degree from an accredited law school.
• Minimum of 3-4 years of experience practicing corporate law, preferably with experience in-house or at a reputable law firm.
• Strong knowledge of corporate law, contract law, securities regulations, and corporate governance principles.
• Excellent legal research, writing, and analytical skills.
• Demonstrated experience in negotiating and drafting complex legal agreements.
• Ability to communicate complex legal concepts effectively to non-legal stakeholders.
• Strong problem-solving skills and the ability to think strategically.
• Ability to work independently and collaboratively in a fast-paced, dynamic environment.
• High level of integrity, professionalism, and ethical conduct.
