We are seeking a motivated and detail-oriented Company Secretary to join our team. In this role, you will assist in ensuring compliance with statutory and regulatory requirements, support corporate governance initiatives, and facilitate effective communication between management, board members, and shareholders. The ideal candidate will have a solid understanding of company law, excellent organizational skills, and the ability to thrive in a dynamic environment.
Responsibilities:
- Compliance Management:
- Assist in ensuring compliance with company law, SEBI regulations, and other applicable laws.
- Prepare and file necessary statutory returns, resolutions, and forms within stipulated timelines.
- Monitor changes in regulatory requirements and update management on implications.
- Board and Shareholder Meetings:
- Coordinate and prepare agendas, notices, and minutes of board and general meetings.
- Maintain statutory books and registers including minutes, share transfers, and director interests.
- Corporate Governance:
- Support the implementation and maintenance of corporate governance frameworks and policies.
- Assist in conducting governance audits and ensuring adherence to best practices.
- Legal and Regulatory Liaison:
- Act as a liaison with regulatory authorities, auditors, legal advisors, and other stakeholders.
- Handle correspondence and queries related to company law and compliance matters.
- Documentation and Record Keeping:
- Maintain and update corporate records, contracts, and legal documents.
- Ensure accurate and secure custody of corporate documents and records.
- Advisory and Support:
- Provide advice and support to management on company law matters, compliance issues, and corporate restructuring.
- Conduct legal research, prepare opinions, and analyze implications of legal developments.
- Training and Development:
- Conduct training sessions for employees on compliance requirements and corporate governance principles.
- Foster awareness and understanding of regulatory changes and their impact on the organization.
- Risk Management:
- Identify potential risks related to compliance and corporate governance.
- Assist in developing risk mitigation strategies and monitoring internal controls. Required Skills and Qualifications:
- Education: Company Secretary (CS) with completion of Executive or Professional Program from the Institute of Company Secretaries of India (ICSI) or equivalent.
- Experience: 2-3 years of relevant experience in a corporate environment preferred.
- Gender -Male Preferred
- Knowledge: Strong understanding of company law, SEBI regulations, corporate governance principles, and compliance requirements.
- Communication Skills: Excellent verbal and written communication skills; ability to interact effectively with stakeholders at all levels.
- Organizational Skills: Ability to prioritize tasks, meet deadlines, and manage multiple responsibilities.
- Attention to Detail: High level of accuracy in maintaining records and preparing documentation.
- Team Player: Collaborative attitude with the ability to work effectively within a team and across departments.
