Full job description:

1. Drafting and Reviewing Agreements:

  • Contracts: Prepare and review contracts with clients, suppliers, partners, and employees.
  • Partnership and Shareholder Agreements: Ensure clarity on roles, responsibilities, and profit-sharing.
  • Non-Disclosure Agreements (NDAs): Protect confidential information.
  • Service Agreements: Define terms with service providers or clients.
  • Employment Contracts: Establish terms of employment, including roles, benefits, and termination conditions.

2. Company Documentation:

  • Incorporation Documents: Prepare documents required for business registration and incorporation (e.g., Articles of Incorporation, Memorandum of Association).
  • Corporate Governance Documents: Develop bylaws, policies, and procedures for company management.
  • Board Resolutions and Minutes: Document important decisions made by the company’s board of directors.
  • Compliance Documents: Ensure the company meets legal requirements, including licenses, permits, and regulatory filings.

3. Legal Compliance:

  • Regulatory Compliance: Advise on laws relevant to the business, such as labor laws, environmental regulations, and industry-specific rules.
  • Monitoring Changes in Law: Keep the company informed about legal developments that may impact operations.

4. Negotiation and Advisory:

  • Negotiating Contracts: Represent the company’s interests during negotiations.
  • Advisory Role: Provide legal advice on potential risks and legal implications of business decisions.

5. Dispute Resolution:

  • Handling Disputes: Manage disputes arising from contracts or agreements.
  • Litigation Support: Represent the company in court if needed or manage external legal counsel.

6. Intellectual Property (If Applicable):

  • Protecting IP: Draft and manage agreements related to trademarks, patents, copyrights, and trade secrets.

7. Risk Management:

  • Identifying Risks: Assess legal risks in company documentation and agreements.
  • Mitigation Strategies: Propose solutions to minimize potential legal exposure.

8. Record Keeping:

  • Document Management: Maintain organized records of all legal documents and agreements for compliance and future reference.
