Description

An established, promoter-led company listed on both the BSE and NSE main boards, with diversified business interests, is hiring a Company Secretary & Compliance Officer for its Ahmedabad head office.

This is a sole-charge role. You will independently lead the entire secretarial function for the listed entity and its group companies, and act as the company’s principal governance officer — the first point of contact for SEBI, BSE, NSE, the MCA, the depositories and shareholders.

Suited to someone who already runs a listed-company compliance calendar end to end and wants full ownership rather than a slice of it.

What you will own

Board & committee governance — Annual meeting calendar across Audit, NRC, Stakeholders’ Relationship, CSR and Risk Management Committees. Notices, agenda, notes and resolutions under SS-1. Minutes and minute books. Separate meeting of Independent Directors, annual Board evaluation, familiarisation programme.

General meetings & annual report — AGM, EGMs and postal ballots end to end: notice, explanatory statement, remote e-voting, VC arrangements, scrutiniser, voting results. Annual Report, Board’s Report, Corporate Governance Report and MD&A. Dispatch and newspaper publications.

SEBI LODR & stock exchange compliance — Every periodic filing with BSE and NSE. Regulation 30 materiality calls and event-based disclosures within statutory timelines. Exchange clarifications and market-rumour verification. Secretarial Audit and the Annual Secretarial Compliance Report. Regulation 46 website disclosures. Audit Committee and shareholder approvals for related party transactions.

Insider trading — Acting as Compliance Officer under the PIT Regulations. Code of Conduct and Code of Fair Disclosure, trading window, pre-clearances, monitoring of designated persons, and the Structured Digital Database.

Companies Act & MCA — Statutory registers, annual filings, DPT-3, MSME-1, DIR-3 KYC and event-based forms. Charges. Sections 135, 180, 185, 186 and 188. SBO records.

Investor services — RTA oversight, SCORES and ODR matters, unclaimed dividends and IEPF, reconciliation of share capital audit.

Group entities — Secretarial compliance for group private companies, LLPs and trusts on a single group compliance calendar, with weekly MIS.

Regulatory liaison — Show-cause notices, adjudication and compounding before SEBI, BSE, NSE and ROC. Governance policies and tracking of regulatory amendments.

Requirements

  • ACS or FCS — mandatory. LL.B. preferred.
  • 7–10 years post-qualification experience in corporate secretarial practice.
  • At least 5 years as Company Secretary or Compliance Officer of a main-board listed company, running the function independently. Dual BSE and NSE listing preferred. (Main board — SME-platform experience alone will not be considered.)
  • Demonstrated end-to-end ownership of quarterly results cycles, AGMs via VC with remote e-voting, postal ballots and annual reports.
  • Experience handling secretarial compliance for multiple group entities simultaneously.
  • Experience dealing with SEBI, ROC and stock exchange queries.
  • Hands-on with MCA V3, BSE Listing Centre, NSE’s electronic filing platform, XBRL, SEBI SCORES, the ODR platform, IEPF portal, e-voting/VC platforms and SDD software.
  • Excellent written and spoken English — essential.
  • Industry background is open.

Added advantages

  • Drafting, vetting and negotiating commercial contracts; setting up a contract repository with renewal and expiry tracking.
  • Exposure to NCLT proceedings, SEBI/exchange show-cause notices, adjudication, settlement or compounding.
  • LL.M., M.Com., MBA, or a certification in contract management.
  • Reading and writing proficiency in Gujarati.

What we’re looking for in the person

Runs the full compliance calendar without reminders and escalates only when a decision is needed. Handles UPSI, Board papers and promoter matters with strict discretion. Zero tolerance for errors in filings, minutes and disclosures. Decides quickly whether an event is material and must be disclosed within the timeline.
