Humancloud is a fast-growing software development company seeking a proactive Corporate Lawyer to manage contracts, compliance, and legal operations.
Key Responsibilities:
- Draft & Review Contracts: Prepare and review MSAs, SOWs, NDAs, vendor agreements, employment contracts, and other legal documents.
- Legal Advisory: Provide legal guidance on business operations, investments, client/vendor relationships, and risk mitigation.
- Company Compliance: Ensure ongoing compliance with all corporate, labor, and regulatory requirements (MCA filings, ROC, Shops & Establishment, etc.).
- Policy Drafting: Develop internal policies, website terms of use, privacy policies, and other documentation in line with applicable laws.
- Legal Documentation: Draft and respond to legal notices, partnership agreements, and other critical business documents.
- Intellectual Property (IP): Handle trademark filings, renewals, and coordinate with IP consultants if required.
- Coordination: Liaise with external legal consultants and government authorities as needed.
- Dispute Management: Manage employee or client disputes with legal clarity and documented processes.
- Support M&A / Investment Activities: Assist in due diligence and legal processes related to fundraising or acquisitions.
Requirements:
- Bachelor’s Degree in Law (LLB) – from a recognized university. LLM is a plus.
- 2–4 years of experience as a corporate lawyer or legal associate, preferably in IT/tech/startup environments.
- Solid understanding of Indian corporate, labor, and IT-related laws.
- Experience with legal drafting, contract negotiation, and policy creation.
- Excellent communication, research, and analytical skills.
- High level of ownership and ability to work independently.
Nice to Have:
- Exposure to handling ESOP documentation and investment term sheets.
- Experience with international contracts or cross-border legal matters.
- Familiarity with data privacy regulations (GDPR, Indian DPDP Act).
