An Italian Manufacturing Company, SIAD, has its wholly owned subsidiary in India. It is one of Europe’s leading industrial groups with a strong presence in Industrial Gases, Engineering, Healthcare, LPG, and Natural Gas.

Established in India in 2026, the company is developing its Engineering Centre and a state-of-the-art manufacturing facility in Merkel, Pune, to support the Group’s growing operations and its sister company, ESA Manufacturing Pvt. Ltd.

The registered office & working location will be in MIDC Bhosari Pune.

Seniority: The position reports directly to the Board, so candidates should currently be in middle management

Legal & Compliance Responsibilities (More Focused Area)

  • Advise the management and Board on legal, regulatory and corporate governance matters.
  • Draft, review and negotiate commercial agreements, NDAs, vendor agreements, employment contracts, service agreements, loan documentation and other legal documents.
  • Coordinate with external legal counsels and regulatory authorities on legal matters.
  • Monitor compliance with all applicable laws, regulations and corporate governance requirements.
  • Represent the Company before courts, quasi-judicial authorities and government agencies whenever required.
  • Develop and implement legal and compliance policies across the organization.
  • Report significant legal and compliance matters to the Board.
  • Maintain legal documentation and ensure effective contract management.
  • Support legal and compliance activities for the Group’s sister company, ESA Manufacturing Pvt. Ltd., as required.

Company Secretarial Responsibilities

  • Manage all Company Secretarial functions in compliance with the Companies Act, 2013 and Secretarial Standards.
  • Organize and conduct Board Meetings, Committee Meetings and Shareholders’ Meetings, including notices, agendas, minutes and statutory records.
  • Ensure timely filing of statutory returns, annual reports, financial statements and other MCA compliances.
  • Handle FEMA, RBI and MCA compliances relating to inward capital, ECBs, KYC and other regulatory approvals.
  • Manage matters relating to issue of capital, changes in Board composition and other corporate actions.
  • Maintain all statutory registers, records and corporate documentation.
  • Act as the Company’s Key Managerial Personnel (KMP), wherever applicable.
  • Support relocation of the Registered Office and ensure all related statutory compliances.
  • Liaise with MCA, RBI and other regulatory authorities for approvals and statutory matters.

Experience & Key Functional Competencies

  • 7-9 years of experience as a Company Secretary, preferably in a manufacturing organization.
  • Minimum 5 years of post-qualification legal experience.
  • The focus will be on strong legal experience
  • Strong knowledge of Companies Act, FEMA, RBI regulations, MCA compliances, and corporate governance.
  • Experience in handling Board Meetings, Shareholder Meetings, statutory filings, capital infusion, ECBs and regulatory approvals.
  • Hands-on experience in drafting and reviewing commercial contracts and legal documentation.
  • Excellent analytical, communication and stakeholder management skills.
